Purpose and Scope

Amplfy is an AI-Native managed marketplace platform that enables efficient collaboration between businesses ("Customers") and creators ("Suppliers"), with an emphasis on user-generated content (UGC) and digital promotional materials.

Amplfy's proprietary Curate-Link-Connect ("CLiC") Engine automates the process of:

  • Curating a vetted, high-performing creator network
  • Linking businesses with creators aligned to specific campaign needs
  • Connecting both parties to complete standardized engagements

Via the platform, Creators are engaged to produce original user generated content ("UGC") for brand use or may publish content in connection with a campaign. Campaigns may involve either or both types of deliverables with no set minimum or maximum.

Amplfy operates a managed, two-sided service. It is not a listing site or open marketplace. At this time, the platform and related services are intended for U.S.-based users.

Amplfy is a service offered by Innovation Platform, Inc., a Delaware corporation.

How Amplfy Works

  • Amplfy curates creators using its proprietary CLiC engine and quality assurance processes.
  • Businesses fund campaigns in advance. Payments are held until deliverables are approved or auto-confirmed as complete under platform policies.
  • Campaign briefs are either submitted by businesses or automatically generated using enriched public and onboarding data.
  • Creator deliverables may include:
    • Content created for business use (UGC), or
    • Content posted by the creator on their own social platforms.
  • Creators are paid promptly after deliverables are confirmed.
  • Amplfy collects required tax documentation (e.g., IRS Form W-9) during creator onboarding and reports income as required by law.
  • Amplfy reserves the right to approve users, remove content, and modify pricing policies at any time.

User Roles and Responsibilities

Businesses (Customers)

  • May submit requests for content or campaign briefs
  • Must fund the campaign prior to creator assignment
  • May not circumvent Amplfy by contacting creators directly
  • Understand that assignments are curated via CLiC and not user-selected

Creators (Suppliers)

  • Must complete onboarding and provide valid tax documentation
  • Agree to fulfill projects per the agreed specifications once connected through CLiC
  • Grant Amplfy license to use, display, and analyze submitted content and performance
  • Understand that rating systems may affect visibility or participation

Fees and Payments

Pricing Structure: Amplfy acts as a financial intermediary by setting campaign prices to businesses and determining compensation offers to creators independently. Such prices are dynamic and platform-optimized using internal analytics and up-to-date market data.

Integrated Fee Model: Amplfy's service fee is not an additional charge to either party. It is built into the total price paid by the business and reflected in the creator's offered compensation. The difference between the two amounts constitutes Amplfy's service fee and may vary by campaign in Amplfy's sole discretion.

Campaign Price Collection: Businesses are charged the full campaign cost at the time of confirmation. This payment secures creator services and is held by Amplfy until deliverables are accepted or otherwise deemed fulfilled.

Creator Payment: Creators are paid promptly upon successful submission and approval of deliverables. Amplfy determines the creator fee at the time of assignment. The creator's payment is funded from the amount previously collected from the business.

Refund Policy: All fees paid to Amplfy are non-refundable. Once a campaign is confirmed, funds are committed to fulfilling the engagement, and no refund will be issued except as required by law.

Dispute Resolution: Amplfy will resolve any disputes related to deliverables, approvals, or payments in accordance with its internal dispute policies and procedures. Amplfy's resolution is final and binding for platform purposes.

Custodial Holding: While Amplfy holds business payments until deliverables are completed, this arrangement does not constitute a legal escrow under financial regulations. Funds are held in a custodial capacity solely to support transaction sequencing and payout logistics.

Negotiation and Discretion: Amplfy may negotiate terms and pricing with each party separately. These negotiations are confidential.

Tax Reporting: Amplfy collects creator identity, supported payment data, and tax information (e.g., IRS Form W-9); in compliance with applicable U.S. tax laws, including annual issuance of Form 1099 for qualifying payments.

Content Ownership and Usage Rights

"Content creation services" include:

User-Generated Content (UGC): Original content created by the creator for use by the business (e.g., photos, videos, copy). The creator retains ownership and grants the business a perpetual, non-exclusive, royalty-free license to use this content across digital and commercial channels.

Creator-Posted Content: Content published by the creator on their own social media account(s) in connection with a campaign. The creator retains ownership and grants the business a limited license to repost or promote the content subject to platform policies, typically non-exclusive and time-limited unless otherwise specified.

Specific rights granted for any campaign may be identified in the campaign terms, including reposting rights, usage windows, and other restrictions.

Amplfy reserves the right to display anonymized campaign samples or performance data for promotional or analytical use.

User Conduct

Users agree not to:

  • Circumvent or attempt to bypass the CLiC system
  • Use the platform in a manner inconsistent with its intended purpose or to gain unauthorized access to its internal processes or relationships
  • Upload unlawful, discriminatory, explicit, or otherwise inappropriate content
  • Use the platform to harass, exploit, or defraud others
  • Misrepresent skills, affiliations, or campaign intent

Data and Privacy

Amplfy collects and uses personal and business data in accordance with its Privacy Policy. This includes:

  • Device and session data for analytics and fraud prevention
  • Creator performance metrics
  • Taxpayer identification data for IRS compliance

We use secure third-party providers to store and process sensitive information, including tax forms and payment data.

Disclaimers and Limitations

  • Amplfy does not guarantee success or fit of any CLiC connection
  • Rating systems used on the platform are third-party enabled and not moderated by Amplfy
  • Amplfy is not liable for indirect, incidental, or consequential damages related to use of the platform

Termination

We may suspend or terminate any user account at our discretion. Termination does not relieve either party of financial obligations already incurred.

Governing Law

These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved via arbitration in Maricopa County, Arizona.

Modifications

We may update these Terms at any time. Continued use of the platform indicates acceptance of any revised version.

Prohibited Use and Misappropriation

Users may not use the Amplfy platform or any portion of its functionality, data, creator relationships, campaign logic, or workflows for any purpose other than participating in campaigns through the platform as intended.

Any attempt to extract, replicate, reverse engineer, or repurpose platform processes or business logic—including but not limited to creator curation, campaign assignment, pricing structures, or recommendation mechanisms—for use outside Amplfy is not permitted and may result in account termination.

Amplfy reserves the right to suspend or terminate accounts and pursue available legal remedies in cases of misuse, unauthorized extraction, or activity inconsistent with the integrity of the platform.
